Commercial license agreement

Last updated: October 26, 2026. This is the agreement a business accepts when it requests a commercial trial. It supplements, and for commercial use overrides, the consumer Terms of Service.

The short version
  • 30 days free, one lane. Try the full game at your venue.
  • $150 per lane per year after the trial, invoiced through Square.
  • One key per lane. A lane is one playing surface driven by one computer.
  • Commercial use is included: charge customers, run leagues, use it in your business.
  • The game checks in online at least once every 30 days. A lane offline longer than that pauses until it can connect.
  • Cancel by not renewing. Your license runs to the end of the paid term, then expires.
  • Keys are for your Site and your Lanes. Do not share them.

1. About This Agreement

This Commercial License Agreement ("Agreement") is between Andrew Bach Codes ("we", "us", "our") and the business identified on the trial request, order, or invoice ("you", "your"). It governs your commercial use of the OpenHockey Engine software, installer, updates, and related documentation (the "Software").

By requesting a trial, accepting an order, paying an invoice, or installing or using the Software for commercial purposes, you agree to this Agreement.

This Agreement supplements the OpenHockey Engine Terms of Service at https://openhockeyengine.com/Terms (the "General Terms"). If this Agreement conflicts with the General Terms about commercial use, this Agreement controls. The General Terms' safety, acceptable-use, and liability provisions also apply to your commercial use.

2. Definitions

  • "Lane" means one playing surface on which the Software is presented, driven by one computer, and covered by one License Key. One computer driving two surfaces is two Lanes.
  • "License Key" means the key we issue for a Lane.
  • "Site" means the physical location or locations where you use the Software under this Agreement.
  • "Term" means the period described in Section 5.
  • "Trial" means the evaluation described in Section 4.

3. License Grant

Subject to this Agreement and payment of the Fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on one computer per Lane, at your Site, for your commercial purposes (including charging customers to use the Software), during the Term and up to the number of Lanes shown on your order, invoice, or dashboard.

Each Lane requires its own License Key. You may move a License Key to replacement hardware for the same Lane. You may not use one License Key on more than one Lane or at more than one Site, except during a temporary hardware replacement.

4. Trial

We may offer a 30-calendar-day Trial for one Lane. The Trial starts when we approve it and ends at 23:59:59 UTC on the 30th calendar day. No payment is due for the Trial.

The Trial is for evaluating the Software at one Site and is limited to one Trial per business. We may decline a Trial request or end a Trial at any time.

At the end of the Trial, the License Key expires unless you purchase a commercial license. Additional Lanes are not included in the Trial.

We may invoice you for the first year at or before the end of the Trial. If you do not pay, the license does not continue.

Settings, leaderboards, and other data created during the Trial may be reset or deleted when the Trial ends. Do not rely on Trial data as a record.

5. Fees, Term, and Renewal

Commercial licenses are 150 USD per Lane per year, unless your order or invoice states a different price. Prices exclude taxes. You are responsible for applicable taxes, and we may collect them through our payment processor.

The initial Term starts when the Trial ends (or, if there is no Trial, when we receive payment) and runs for 12 months. Each renewal Term starts when the previous Term ends and runs for 12 months if you renew.

We will invoice you before each renewal. Licenses do not renew automatically unless your order or invoice says so. If you do not pay by the end of the current Term, the license expires after any grace period we grant.

We may change the price for a renewal Term by giving you at least 30 days' notice before the renewal date. The price for the current Term does not change.

Fees are non-refundable except where required by law or where we agree in writing. Chargebacks and reversed payments may result in suspension.

6. License Checks, Connectivity, and Offline Use

The Software contacts our licensing service when it starts and at other times. It sends the License Key, a hashed machine identifier, the Software version, and your IP address. We use this information to confirm that the license is active, to prevent unlicensed use, and to support you.

A commercial License Key must successfully check in at least once every 30 days. If a Lane cannot reach the licensing service for more than 30 days, the Software will stop working on that Lane until it can check in again. A paid license also stops working when its Term ends and any grace period we grant has passed.

You are responsible for the internet connection and network configuration at your Site. We are not liable for interruptions caused by your network, firewalls, proxies, or outages on your side.

We may suspend or revoke a License Key immediately for non-payment, a chargeback, a breach of this Agreement, or unlawful use. We may revoke a key you report as compromised and issue a replacement.

7. Updates and Support

During the Term, you receive the updates we publish for the Software. Updates may add, change, or remove features.

We provide reasonable email support to the contact on your account during our business hours. We do not guarantee a response time or that every issue can be resolved. Support during a Trial is at our discretion.

We may end support for an old version or operating system, but we will not intentionally disable a paid Lane before its Term ends except under Section 6.

8. Restrictions and License Review

You must not:

  • copy, distribute, publish, rent, lease, sublicense, or resell the Software or License Keys except as part of your own Site's licensed use;
  • use one License Key on more than one Lane or at more than one Site, except a temporary hardware replacement for the same Lane;
  • remove or alter proprietary notices;
  • reverse engineer, decompile, or disassemble the Software except to the extent the law does not allow us to prohibit it;
  • bypass, disable, or interfere with the license checks or activation; or
  • use the Software in a way that breaks the law or the General Terms.

We may review the license-check records for your Site to confirm the number of Lanes in use. If we find unlicensed Lanes, you must pay for them from the date they began, at the then-current price, and we may suspend the Site's keys until the account is current.

9. Intellectual Property

We and our licensors own the Software, its content, and all related intellectual property. This Agreement grants you a license, not a sale. You receive no rights except those expressly stated. If you send us feedback, we may use it without obligation.

10. Your Responsibilities, Safety, and Insurance

The Software is a training simulator, not safety equipment. It can misread shots, miscount results, or behave unexpectedly.

You are responsible for the safety of your Site: the hitting area, projection surface, enclosure or netting, computer and projector, supervision of players, and everyone's conduct. You must follow the General Terms' safety provisions and any instructions we provide.

You are responsible for your customers, employees, and anyone else at your Site, and for any injury, property damage, or other loss arising from your operation of the Software or your Site.

You must maintain the insurance customary for your business, including general liability insurance, and provide a certificate of insurance on request.

11. Privacy and Data

Our Privacy Policy at https://openhockeyengine.com/Privacy explains what we collect. The license-check data described in Section 6 is used for licensing, support, security, and billing. Leaderboards and settings are stored on your computer.

12. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT IT WILL MEET YOUR REQUIREMENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE FEES YOU PAID US FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM.

THESE LIMITS DO NOT APPLY TO FRAUD, WILLFUL MISCONDUCT, OR ANYTHING ELSE THE LAW DOES NOT ALLOW US TO LIMIT.

14. Indemnity

You will defend, indemnify, and hold us harmless from claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Site, your use of the Software, your customers or employees, or your breach of this Agreement, except to the extent caused by our gross negligence or willful misconduct.

15. Term and Termination

This Agreement runs for the Term and any renewal Term.

Either party may terminate for a material breach that is not cured within 15 days of written notice.

We may suspend or terminate immediately for non-payment, a chargeback, unlawful use, or a threat to the safety or security of others.

On termination or expiry, your license ends, the License Keys stop working, and you must stop using and uninstall the Software. Sections 5 (unpaid fees), 9, 10, 11, 12, 13, 14, 16, and 17 survive.

16. Changes to This Agreement

We may update this Agreement. We will post the new version and, for a material change, notify the contact on your account at least 30 days before it takes effect for a renewal Term. Changes do not retroactively reduce your rights for the current Term. Continued use after the effective date means you accept the new version.

17. General

Governing law. The laws of the State of South Dakota, USA, without its conflict-of-laws rules, govern this Agreement. The state and federal courts located in South Dakota have exclusive jurisdiction, and you consent to venue there.

Assignment. You may not assign this Agreement without our written consent. We may assign it to a successor of the business or the Software.

Entire agreement. This Agreement, the General Terms, and the Privacy Policy are the entire agreement about commercial use and supersede any prior discussions.

Severability and waiver. If a provision is unenforceable, the rest stays in effect. A waiver is not a continuing waiver.

Notices. Notices must be in writing to the contact on your account or to support@openhockeyengine.com.

Independent contractors. Nothing in this Agreement creates a partnership, franchise, or employment relationship.
